Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and YourBackers Private Limited, a company incorporated in India with its office at 140, 1st Floor, Cuddalore Main Road, Ariyankuppam, Puducherry 605007, India ("YourBackers AI", "we", "us" or "our"). They govern your access to and use of the YourBackers AI website, web application, tools, application programming interfaces and related services (together, the "Service").
Please read these Terms carefully together with our Privacy Policy, Acceptable Use & AI Content Policy, Refund & Cancellation Policy, Shipping & Delivery Policy and Cookie Policy, which are incorporated into these Terms by reference. If you do not agree, do not use the Service.
1. Acceptance and eligibility
You accept these Terms when you create an account, sign in with a third-party account (such as Google, Microsoft or Apple), purchase credits, or otherwise use the Service. If you use the Service on behalf of a company, studio or other organisation, you confirm that you are authorised to bind that organisation, and "you" includes that organisation.
You must be at least 18 years old and legally able to enter into a contract under the Indian Contract Act, 1872. The Service is not directed at children and we do not knowingly allow anyone under 18 to create an account.
You must not use the Service if you are barred from doing so under applicable law or if we have previously suspended or terminated your account.
2. Definitions
- "Account" means the account you register to use the Service, including accounts created through a third-party sign-in provider.
- "Workspace" means the shared space in which projects, cast members, assets, credits and team members are organised.
- "Inputs" means anything you or your Workspace members provide to the Service, including ideas, prompts, scripts, story documents, images, audio, video, reference media, feedback and instructions.
- "Outputs" means content generated by the Service in response to your Inputs, including screenplays, character designs, storyboards, images, voices, music, video clips, edits, subtitles, posters and pitch materials.
- "YB Credits" or "Credits" means the prepaid units used to pay for AI reasoning, generation and platform processing on the Service.
- "Cast Member" means a character, preset digital character or verified real actor stored in a Workspace cast library.
- "Pitch Room" means a private share link created by you to present Outputs to producers or other recipients.
3. The Service
YourBackers AI is an AI film studio that helps directors and creators turn ideas into sample films and pitch materials. Depending on your plan and tier, the Service may include:
- AI Movie Studio — an agentic pipeline that writes, designs characters, wardrobe and locations, plans shots, storyboards, generates video, dubs, scores, edits, reviews and packages a sample film, with approval gates for script, cast and budget;
- tools such as Script Generator, Video Editor with chat-based clip editing, Character Studio, Storyboard Studio, Dubbing Studio, Song Creator and Face Swap AI (recast);
- story document upload, where you can upload an existing story, treatment or screenplay (PDF, Word, Final Draft, Fountain, text) for the crew to adapt;
- a cast library, including preset digital characters and real actors who have completed identity verification and given consent;
- a media gallery, screenplay PDF export and Pitch Rooms for sharing Outputs; and
- sign-in with email and password or with third-party providers.
We use our own YB model editions (for example YB Video, YB Image, YB Brain and YB Voice), which are built on technology provided by third-party infrastructure partners. We may change, add or remove models, features, tiers, limits and tools at any time to improve quality, safety or reliability.
Beta and preview features
Features labelled "Beta", "Preview" or "Coming soon" are provided for evaluation, may be incomplete or change without notice, and may be withdrawn. They are provided "as is" and are excluded from any service commitments.
4. Accounts, sign-in and Workspaces
You must provide accurate, current and complete information and keep it updated. You are responsible for keeping your password and sign-in methods secure and for all activity under your Account and Workspace, including actions by members you invite.
If you sign in with Google, Microsoft or Apple, that provider authenticates you and shares basic profile information with us as described in our Privacy Policy. Linking a provider to an existing Account requires a verified email address or confirmation with your password.
Tell us immediately at reachus@yourbackers.org if you suspect unauthorised use of your Account. Workspace owners and administrators control membership, roles and billing for their Workspace and are responsible for the conduct of Workspace members.
You may not sell, transfer, share or rent your Account, and you may not create Accounts by automated means or to evade limits, welcome-credit rules or enforcement actions.
5. YB Credits, pricing and taxes
How credits work
- Credits are prepaid. They are consumed for three kinds of work, always shown separately: brain (AI reasoning by the crew), generation (images, video and audio) and platform (rendering, finishing and other processing fees).
- Before a production or tool run spends credits, the Service shows an estimate. When you approve, the estimated credits are held. Only the credits actually used are charged, and the unused part of the hold is released automatically when the run ends, fails or is cancelled.
- Failed generations caused by our systems or our infrastructure partners are not charged. Credits already used for completed work (including work you later discard, regenerate or do not like) are not returned.
- Some add-ons have fixed prices shown before you confirm, such as real-actor casting for a project.
Validity and restrictions
- Purchased credits are valid for 12 months from the date of purchase. Welcome or promotional credits are valid for 30 days unless a different period is stated when they are granted.
- Credits have no cash value, are not legal tender, are non-transferable between Workspaces or persons, cannot be resold and cannot be exchanged for money except as set out in our Refund & Cancellation Policy.
- Credits belong to the Workspace for which they were purchased. If the Workspace is deleted or an Account is terminated for breach, unused credits lapse.
Prices and taxes
Prices for credit packs, plans and add-ons are displayed in Indian Rupees (INR) on the Service at the time of purchase. Unless stated otherwise, displayed prices are inclusive of applicable Goods and Services Tax (GST). Tax invoices are issued to the billing details you provide. We may change prices and credit rates prospectively; changes do not affect credits you have already purchased or runs you have already approved.
6. Payments
Payments are processed by our authorised payment aggregators, currently Razorpay Software Private Limited and Cashfree Payments India Private Limited, using methods such as UPI, cards, net banking and wallets. By paying, you also agree to the applicable terms of the payment aggregator. We do not collect or store your full card number, CVV, UPI PIN or net-banking credentials.
A payment is complete only when the payment aggregator confirms it to us. Credits are added to your Workspace after confirmation, as described in our Shipping & Delivery Policy. If money is debited but credits are not delivered, we reconcile automatically and either deliver the credits or refund you under our Refund & Cancellation Policy.
You must use payment methods you are authorised to use. We may cancel orders or reverse credits for suspected fraud, payment errors or chargebacks, and we may suspend an Account while a dispute is investigated.
Cancellations and refunds are governed by our Refund & Cancellation Policy.
7. Your Inputs and our licence to operate the Service
As between you and us, you retain all rights you hold in your Inputs. You confirm that you own or have all rights, licences, consents and permissions needed to provide your Inputs and to let us process them as described in these Terms, including rights from co-writers, rights holders and any identifiable person who appears in them.
You grant us and our service providers a worldwide, non-exclusive, royalty-free licence, for as long as needed to provide the Service to you, to host, store, copy, process, transmit, transform, analyse and display your Inputs and Outputs in order to operate, secure, support and improve the Service, to comply with law and to enforce these Terms.
We do not use the content of your private projects to train our own foundation models, and we do not sell your Inputs or Outputs. We may use aggregated and de-identified usage information (for example credit consumption and error rates) to operate and improve the Service.
You are responsible for keeping your own copies of Inputs and Outputs you want to keep. Provider output URLs are temporary and certain processing copies are deleted automatically, as described in the Privacy Policy.
8. AI Outputs: ownership and limitations
Subject to your compliance with these Terms and payment of applicable fees, we assign to you all right, title and interest that we may have in the Outputs generated for your Workspace, to the extent permitted by law. You may use Outputs for pitching, personal and commercial purposes, subject to the rights of third parties and applicable law.
- No exclusivity: AI systems may generate the same or similar outputs for other users. We do not guarantee that Outputs are unique or that they can be protected by copyright or other intellectual property rights in any jurisdiction.
- Accuracy: Outputs may contain errors, visual artefacts, inconsistencies, inaccurate translations or content that does not match your instructions. You must review Outputs before relying on or publishing them.
- Third-party rights: Outputs may unintentionally resemble existing works, trademarks, places or people. You are responsible for clearing rights and obtaining any releases before commercial exploitation, distribution or public exhibition.
- No professional advice: nothing generated by the Service is legal, financial, medical or other professional advice.
Where a language model, reviewer agent or estimate is shown, it is a tool to help you decide; final creative, commercial and legal decisions remain yours.
9. Real people, likeness and consent
You must not upload, generate or distribute content that uses the face, body, voice or other likeness of a real, identifiable person without that person’s valid and informed consent. You must not use the Service to create misleading deepfakes, impersonate anyone, or depict real people in sexual, defamatory, humiliating or harmful situations.
- Designed characters and preset digital characters are provided for fictional use and must not be presented as real people.
- Real actors may only be cast through our verified actor flow, in which the actor completes identity (liveness) verification with our verification partner and accepts consent terms that define the permitted usage scope (for example pitch-only or commercial) and duration.
- Actors may revoke consent. After revocation, no new generations using that actor are permitted; content already delivered before revocation may be retained by the Workspace only within the originally agreed scope.
- Face Swap AI and recast features may only be used on clips you are entitled to use and with cast members who are usable under these rules. Uploaded footage of real people is only accepted where the Service supports verified consent for every person in it.
We may block, remove or refuse to process content that we reasonably believe violates this section, and we may report unlawful content to authorities.
10. Acceptable use
You must comply with our Acceptable Use & AI Content Policy and all applicable laws, including the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. In particular, you must not host, display, upload, generate, modify, publish, transmit, store, update or share information that is prohibited by Rule 3(1)(b) of those Rules.
You must not: attempt to bypass or disable safety filters, consent checks, rate limits or credit accounting; reverse engineer the Service or our models except as permitted by law; scrape or harvest data; use the Service to build a competing product; resell access without our written permission; introduce malware; or interfere with the security or availability of the Service.
11. Pitch Rooms and sharing
Pitch Rooms are private links that you control. Anyone with the link (and password, if you set one) can view the shared Outputs until you revoke the link or it expires. You are responsible for who you share links with and for any obligations of confidentiality you agree with recipients.
We treat Pitch Room content as your confidential content and do not make it public or index it. View analytics shown to you are limited to what is described in the Privacy Policy.
12. Third-party services
The Service relies on third-party infrastructure, AI, sign-in, storage, email and payment providers. Their services may be subject to their own terms and availability. We are not responsible for third-party websites, content or services that are not under our control, including sites you reach through links in the Service.
13. Our intellectual property and feedback
The Service, including its software, models configuration, prompts, workflows, design, text, graphics, logos, the "YourBackers AI" and "YB" names and marks, and all related intellectual property, is owned by YourBackers Private Limited or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service in accordance with these Terms. No other rights are granted.
If you send us suggestions or feedback, you allow us to use them freely without obligation to you.
14. Suspension and termination
You may stop using the Service and request deletion of your Account at any time from Settings or by writing to reachus@yourbackers.org.
We may suspend or terminate your access, remove content or cancel runs, with notice where reasonable, if you breach these Terms or our policies, if required by law or a court or government order, to protect users, third parties or the Service, or for prolonged inactivity. Where we terminate for reasons other than your breach, we will refund the value of unused purchased credits on a pro-rata basis.
After termination, your right to use the Service ends. We will delete or de-identify your data in line with our Privacy Policy, except where we must retain it by law (for example tax records). Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnity and governing law) survive termination.
15. Disclaimers
To the maximum extent permitted by law, the Service and all Outputs are provided "as is" and "as available". We disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation. AI generation is probabilistic; we do not warrant any particular creative result, box-office or funding outcome, or that producers or backers will respond to your pitch.
16. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, opportunity, goodwill or data, arising from or related to the Service or these Terms.
Our total aggregate liability for all claims relating to the Service or these Terms is limited to the amount you paid to us for the Service in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, including for fraud or for rights you have as a consumer under the Consumer Protection Act, 2019.
17. Indemnity
You will indemnify and hold harmless YourBackers Private Limited, its directors, employees and partners from claims, losses, liabilities, damages and expenses (including reasonable legal fees) arising from your Inputs, your use of Outputs, your breach of these Terms or policies, or your violation of any law or third-party right, including rights of publicity and privacy of any person depicted.
18. Force majeure
We are not liable for delay or failure to perform caused by events beyond our reasonable control, including natural disasters, epidemics, war, terrorism, riots, government action, power or internet failures, failures of infrastructure or payment partners, and cyber-attacks.
19. Grievance redressal
If you have a complaint about the Service, content on the Service, your Account, a payment or these Terms, contact our Grievance Officer:

- Complaints under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 are acknowledged within 24 hours and resolved within 15 days of receipt. Requests to remove content that exposes the private area of a person, shows them in full or partial nudity or in a sexual act, or is an impersonation (including artificially morphed images) are acted upon within 24 hours.
- Consumer complaints under the Consumer Protection (E-Commerce) Rules, 2020 are acknowledged within 48 hours and redressed within one month of receipt.
Please include your registered email address, the Workspace or project concerned, links or IDs of the content or order, and a description of the issue.
20. Governing law and disputes
These Terms are governed by the laws of India. Subject to any rights you have as a consumer to approach a consumer commission, the courts at Puducherry, India have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service. Before starting proceedings, you agree to first contact us so that we can try to resolve the dispute informally within 30 days.
21. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms with a new version and effective date and, for material changes, notify you by email or in the Service at least 7 days before they take effect, unless a change is required sooner by law or to address security or misuse. Continuing to use the Service after changes take effect means you accept the updated Terms.
22. General
These Terms, together with the policies referenced in them, are the entire agreement between you and us about the Service. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. Notices to you may be given by email or in the Service; notices to us must be sent to the contact details below.
